These terms of service ("Terms") constitute a legally binding agreement between you and Merkaba Group L.L.C. ("MNSTRY," "we," "us," or "our") governing your access to and use of the MNSTRY platform and services.
By accessing or using our platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the platform.
MNSTRY is a platform as a service (PaaS) that provides white-label agentic infrastructure for professional practitioners. Our platform enables practitioners to:
•
Configure and deploy custom client engagement systems
•
Upload session recordings and knowledge base content
•
Enable agentic tools and workflows for client support
•
Maintain continuous engagement between live sessions
Important: MNSTRY is a technology platform only. We do not provide medical, therapeutic, spiritual, or professional services. All client care and professional services are the sole responsibility of the designated practitioner.
To use MNSTRY, you must:
•
Be at least 18 years of age
•
Have the legal capacity to enter into binding agreements
•
Not be prohibited from using the platform under applicable law
•
If acting as a practitioner, hold appropriate credentials and licenses for your professional practice
To access certain features, you must create an account. You agree to:
•
Provide accurate, current, and complete information during registration
•
Maintain and promptly update your account information
•
Maintain the security and confidentiality of your login credentials
•
Notify us immediately of any unauthorized access to your account
•
Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.
If you use MNSTRY as a practitioner to provide services to clients, you agree that:
•
You are solely responsible for all client care, advice, and professional services
•
You hold all necessary credentials, licenses, and insurance for your practice
•
You will comply with all applicable laws, regulations, and professional standards
•
You will obtain appropriate consent from clients before using the platform
•
You are responsible for the accuracy and appropriateness of your knowledge base content
•
You will maintain appropriate professional boundaries and ethical standards
•
You will comply with applicable privacy regulations, including HIPAA if applicable
MNSTRY does not verify practitioner credentials and makes no representations about the qualifications or competence of any practitioner using the platform.
If you use MNSTRY as a client of a practitioner, you understand and agree that:
•
MNSTRY is a technology platform, not a healthcare or professional services provider
•
Your relationship is with your practitioner, not with MNSTRY
•
Any advice, guidance, or support is provided by your practitioner or their configured tools
•
The platform is not a substitute for emergency services or crisis intervention
•
You should contact emergency services immediately if you are experiencing a crisis
You agree not to use the platform to:
•
Violate any applicable law, regulation, or third-party rights
•
Upload, transmit, or store content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
•
Impersonate any person or entity or misrepresent your affiliation
•
Attempt to gain unauthorized access to the platform or other users' accounts
•
Interfere with or disrupt the platform or its infrastructure
•
Use the platform to send spam or unsolicited communications
•
Reverse engineer, decompile, or disassemble any part of the platform
•
Use automated means to access the platform without our permission
•
Collect or harvest user information without consent
You retain ownership of all content you upload, create, or transmit through the platform ("Your Content"). By using the platform, you grant us a limited, non-exclusive license to host, store, transmit, and display Your Content solely to provide the platform services.
You represent and warrant that you have all necessary rights to Your Content and that Your Content does not infringe the rights of any third party.
The platform, including its design, features, functionality, and underlying technology, is owned by MNSTRY and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our platform without our express permission.
If you provide suggestions, ideas, or other feedback about the platform, you grant us the right to use such feedback without restriction or compensation to you.
The platform includes artificial intelligence and automated features. You understand and agree that:

AI-generated content is provided for informational purposes only and should not replace professional judgment
•
AI systems may produce errors, inaccuracies, or inappropriate responses
•
Practitioners are responsible for reviewing and validating AI outputs before acting on them
•
We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content
•
AI features are tools to assist practitioners, not replacements for professional services
Access to certain features may require payment of fees. If you purchase a subscription or other paid services:
•
You agree to pay all applicable fees as described at the time of purchase
•
Fees are non-refundable except as expressly stated or required by law
•
We may change fees upon reasonable notice
•
Failure to pay may result in suspension or termination of your access
Your use of the platform is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the platform, you consent to our privacy practices as described in the Privacy Policy.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
MNSTRY IS NOT A HEALTHCARE PROVIDER AND DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. THE PLATFORM SHOULD NOT BE USED AS A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE OR EMERGENCY SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MNSTRY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless MNSTRY and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
•
Your use of the platform
•
Your violation of these Terms
•
Your violation of any third-party rights
•
Your Content
•
Your professional services provided through the platform
You may terminate your account at any time by contacting us. We may suspend or terminate your access to the platform at any time, with or without cause or notice.
Upon termination:
•
Your right to use the platform will immediately cease
•
We may delete your account and associated data
•
Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnification
Any disputes arising from these Terms or your use of the platform will be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration will be conducted in Dallas, Texas.
You waive any right to participate in a class action lawsuit or class-wide arbitration.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
•
Governing law: These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
•
Entire agreement: These Terms constitute the entire agreement between you and MNSTRY regarding the platform.
•
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
•
Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
•
Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
•
Modifications: We may modify these Terms at any time. Continued use of the platform after changes constitutes acceptance.
